Introduction
Thank you for visiting a website, mobile app or other online service (“Service”) that belongs to and is operated by eSalon.com LLC or one of its subsidiary or affiliated companies (“Site”, “eSalon.com”, “eSalon”, “Us”, “We”, “Our”).
These Terms of Use (“Terms”) affect your legal rights, responsibilities and obligations and govern your use of the Service, are legally binding, limit eSalon’s liability to you and require you to indemnify us in certain situations.

BY USING THE SERVICE, YOU AGREE TO RESOLVE ANY DISPUTE WITH US THROUGH MANDATORY INDIVIDUAL ARBITRATION OR SMALL CLAIMS DISPUTE PROCEDURES, AND YOU AGREE TO WAIVE YOUR RIGHTS TO PARTICIPATE IN A CLASS ACTION SUIT OR A JURY TRIAL. PLEASE REVIEW SECTION 14 BELOW REGARDING ARBITRATION CAREFULLY. IF YOU DO NOT ACCEPT AND AGREE TO BE LEGALLY BOUND BY AND COMPLY WITH THESE TERMS OF USE, YOU ARE NOT PERMITTED TO USE THE SERVICE. BY USING THE SERVICE, YOU ALSO ACCEPT AND CONSENT TO ALL PRACTICES DESCRIBED IN OUR NORTH AMERICA PRIVACY POLICY AND CALIFORNIA PRIVACY NOTICE, WHICH MAY BE UPDATED FROM TIME TO TIME.
If you are accessing Our Service in your professional capacity, by visiting or otherwise using the Service in any manner, you acknowledge and agree that you are an authorized representative of the entity on whose behalf you are accepting these Terms and any applicable Additional Terms, and such entity agrees to be bound by these Terms and any applicable Additional Terms. You also acknowledge, agree and consent to Our data practices as described in Our Privacy Statement.
If you do not wish to be bound by these Terms and any Additional Terms, do not use the Service and uninstall Service downloads and applications.
Our Service is not intended for use by anyone under the age of 18, and no one under 18 is permitted to use the Service. If you use the Service, you represent and affirm to us that you are 18 years old or older. We encourage parents and guardians to closely monitor internet use by their children.
Additional Terms
In some instances, additional or different terms, posted on the Service, apply to your use of certain parts of the Service (individually and collectively “Additional Terms”). To the extent there is a conflict between these Terms and any Additional Terms, these Terms will control unless the Additional Terms expressly state otherwise.
Updates to these Terms and Additional Terms
We may prospectively change these Terms and Additional Terms by posting new or changed terms on the Service as more fully explained [Section 16].
1. Ownership and Operation
The Service and all of its content (“Content”), including all copyrights, patents, trademarks, service marks, trade names and all other intellectual property rights therein (“Intellectual Property”), are owned or controlled by eSalon, Our licensors, and certain other third parties. All right, title, and interest in and to the Content and Intellectual Property available via the Service is the property of eSalon, Our licensors or certain other third parties, and is protected by U.S. and international copyright, trademark, trade dress, patent and/or other intellectual property and unfair competition rights and laws to the fullest extent possible. eSalon owns the copyright in the selection, compilation, assembly, arrangement, and enhancement of the Content on the Service. eSalon, in its sole discretion without advance notice or liability, may immediately suspend or terminate the availability of the Service and/or content (and any elements and features of them), in whole or in part, for any reason, in eSalon’s sole discretion, and without advance notice or liability.
2. Intended Geographic Scope
The Service and its Content are controlled from within the United States of America and Canada. Access to the Service from territories where its Content is illegal is prohibited. Those who choose to access the Service from outside the United States and Canada are responsible for compliance with all local laws applicable to them with respect to the Content and operation of the Service. You are responsible for complying with all applicable trade regulations and laws both foreign and domestic. Except as authorized by U.S. and Canadian law, you agree and warrant not to export or re-export the software to any county, or to any person, entity, or end-user subject to U.S. and/or Canadian export controls or sanctions. The brands / products shown on the Service are examples of the brands / products available from companies of eSalon worldwide. eSalon does not warrant that a brand / product shown is also available in your country.
3. Privacy
Our Privacy Policy and California Privacy Notice describe our practices concerning personal information. By accessing or using Our Service, you consent to the practices described in our Privacy Policy and California Privacy Notice.
4. Limited Permission to Access and Use the Service
It is eSalon policy to enforce its Intellectual Property rights to the fullest extent of the law, including seeking criminal sanctions. Your right to use the Service and Content is subject to your strict compliance with these Terms and the Additional Terms. Your right to access and use the Service and the Intellectual Property shall automatically terminate upon any violations. These rights are non-exclusive, limited, and revocable by Us at any time in our sole discretion without advance notice or liability. As your right to access and use the Service and the content is personal to you, you may not assign nor transfer your right; any attempt to do so is void. You may, for your personal, non-commercial, lawful use only (collectively, the following are the “eSalon Licensed Elements”):

A. Display, view, use, and play the Content on a computer, mobile or other internet enabled or permitted device (“Device”) and/or print one copy of the Content (excluding source and object code in raw form or otherwise) as it is displayed to you;

B. Stream the Content using any of the widgets and/or other digital streaming internet video players, if any, provided on the Service;

C. Subject to any applicable Additional Terms, if the Service includes a “Send to Friend,” social media sharing or similar tool that allows you to initiate and send to one or more of your contacts a communication that includes content, or to post Our content to Third-Party Services or your own site or online service, and the tool is operational, use the tool to do so; provided, however, that you do not do so in any manner that violates applicable law or third-party rights or reflects negativity on Us, and only send to recipients you have permission to contact;

D. If the Service includes a “Download” link next to a piece of content (including, without limitation, an image, an icon, a wallpaper, a music track, a video, a trailer, an RSS feed), you may only download a single copy of such content to a single Device;

E. Download, install and use one copy of any software, including apps, that We make available on or through the Service (“Software”) on your Device in machine-executable object code form only and make one additional copy for back-up purposes; provided, however, that you understand and agree that (i) by allowing you to download the Software, eSalon does not transfer title to the Software to you (i.e., you own the medium on which the Software is recorded, but the Software's owner (which may be eSalon and/or its third-party Software licensor) will retain full and complete title to such Software); (ii) you may not copy, modify, adapt, translate into any language, distribute, or create derivative works based on the Software, except as expressly authorized in these Terms or applicable Additional Terms, without the prior written consent of eSalon: (iii) you may not assign, rent, lease, or lend the Software to any person or entity and any attempt by you to sublicense, transfer, or assign the Software will be void and of no effect; and (iv) you may not decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, underlying user interface techniques, or algorithms of the Software by any means whatsoever, except to the extent the foregoing restriction is prohibited by applicable law;

F. If made available to you, obtain a registered personal account (and/or related username and password) on the Service and interact with the Service in connection therewith;

G. Link to the Service from a website or other online service, so long as: (a) the links only incorporate text, and do not use any eSalon names, logos, or images, (b) the links and the content on your website do not suggest any affiliation with eSalon or cause any other confusion, and (c) the links and the content on your website do not portray eSalon or its products or services in a false, misleading, derogatory, or otherwise offensive manner, and do not contain content that is unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third-party or are otherwise objectionable to eSalon. eSalon reserves the right to suspend or prohibit linking to the Service for any reason, in its sole discretion, without advance notice or any liability of any kind to you or any third-party, and;

H. Use any other functionality expressly provided by eSalon on or through the Service for use by users, subject to these Terms (including, without limitation, functionality to create and/or post User-Generated Content (as defined below)) and any applicable Additional Terms.
Any unauthorized use or abuse of these intellectual property or works is expressly prohibited and constitutes a violation of trademark law, copyright law, other intellectual property rights or unfair competition law.
5. Service and Content Restrictions
The Service may enable you to create an account, and using certain features of the Service may require you to create an account. By creating an account with Us, you represent, warrant, and covenant that: (a) you are at least 18 years of age; (b) you have not previously been suspended or removed from any Service We offer; (c) your registration and your use of the Service is in compliance with these Terms and all applicable laws, rules, and regulations; and (d) all information you provide is accurate and complete, and you will keep it accurate, complete, and up-to-date at all times.
Each user who creates an account on the Service is responsible for keeping the account information – including login credentials – secret and confidential. You are solely responsible for maintaining the confidentiality of your account, including your username and password, and you agree that you are solely responsible for any and all activity that occurs in, through, and/or using your account, be it authorized or unauthorized. For example, if you permit others to know or use your account credentials, you agree to these Terms on behalf of all other persons who use the Service under your account.
You agree that We, in Our sole discretion, may terminate, suspend, or disable your account at any time and for any or no reason, in Our sole discretion, (i) if We believe you have violated or acted inconsistently with these Terms, (ii) in order to comply with applicable law, or (iii) in any other circumstances We deem appropriate, even if access and use continues to be allowed to others. Upon such suspension or termination, you must immediately discontinue use of your account. Further, you agree that We shall not be liable to you or any third party for any termination or suspension of your account.
You agree to indemnify, defend, and hold harmless eSalon, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from your or any other party’s access to or use of the Service using your account and/or credentials.
6. Service and Content Restrictions

A. Service Use Restrictions. You agree that you will not: (i) use the Service for any political or commercial purpose (including, without limitation, for purposes of advertising, soliciting funds, collecting product prices, and selling products); (ii) use any meta tags or any other “hidden text” utilizing any Intellectual Property; (iii) engage in any activities through or in connection with the Service that seek to attempt to or do harm any individuals or entities or are unlawful, offensive, obscene, lewd, lascivious, filthy, violent, threatening, harassing, or abusive, or that violate any right of any third-party, or are otherwise objectionable to eSalon; (iv) decompile, disassemble, reverse engineer, or attempt to reconstruct, identify, or discover any source code, underlying ideas, underlying user interface techniques, or algorithms of the Service by any means whatsoever or modify any Service source or object code or any Software or other products, services, or processes accessible through any portion of the Service; (v) engage in any activity that interferes with a user’s access to the Service or the proper operation of the Service, or otherwise causes harm to the Service, eSalon, or other users of the Service; (vi) interfere with or circumvent any security feature (including any digital rights management mechanism, device or other content protection or access control measure) of the Service or any feature that restricts or enforces limitations on use of or access to the Service, the Content, or the UGC; (vii) harvest or otherwise collect or store any information (including personally identifiable information about other users of the Service, including email addresses, without the express consent of such users); (viii) attempt to gain unauthorized access to the Service, other computer systems or networks connected to the Service, through password mining or any other means; or (ix) otherwise violate these Terms or any applicable Additional Terms.

B. Content Use Restrictions. You also agree that, in using the Service, you: (i) will not monitor, gather, copy, or distribute the Content (except as may be a result of standard search engine activity or use of a standard browser) on the Service by using any robot, rover, “bot”, spider, scraper, crawler, spyware, engine, device, software, extraction tool, or any other automatic device, utility, or manual process of any kind; (ii) will not frame or utilize framing techniques to enclose any such content (including any images, text, or page layout); (iii) will keep intact all trademark, copyright, and other Intellectual Property and other notices contained in such content; (iv) will not use such content in a manner that suggests an unauthorized association with any of Our or Our licensors’ products, services, or brands; (v) will not make any modifications to such content (other than to the extent of your specifically permitted by Us, if applicable); (vi) will not copy, modify, reproduce, archive, sell, lease, rent, exchange, create derivative works from, publish by hard copy or electronic means, publicly perform, display, disseminate, distribute, broadcast, retransmit, circulate or transfer to any third-party or on any third-party application or website, or otherwise use or exploit such content in any way for any purpose except as specifically permitted by these Terms or any applicable Additional Terms or with the prior written consent of an officer of eSalon or, in the case of content from a licensor, the owner of the content; and (vii) will not insert any code or product to manipulate such content in any way that adversely affects any user experience or the Service.
7. User-Generated Content

A. General. eSalon may now, or in the future, offer users of the Service the opportunity to create, build, post, upload, display, publish, distribute, transmit, broadcast, or otherwise make available on or submit through the Service, or on or in response to Our pages or posts on any third-party platforms or in connection with any of Our promotions by any media or manner, or otherwise submit to Us (e.g., on Our Facebook or other social media pages, in response to Our posts, through a sweepstakes or contest, or by otherwise sending it to Us) (collectively, “submit”) messages, text, illustrations, files, images, graphics, photos, comments, responses, sounds, music, videos, information, content, ratings, reviews, data, questions, suggestions, personally identifiable information, or other information or materials and the ideas contained therein (collectively, but excluding eSalon Licensed Elements included therein, “User-Generated Content” or “UGC”). You may submit UGC through your profile, forums, blogs, message boards, social networking environments, content creation and posting tools, gameplay, social communities, contact Us tools, email, and other communications functionality. Except to the extent of the rights and license you grant in these Terms and, subject to any applicable Additional Terms, you retain whatever legally cognizable right, title, and interest that you have in your UGC.

B. Non-Confidentiality of Your User-Generated Content. Except as otherwise described in the Service’s posted Privacy Statement, or any applicable Additional Terms, you agree that (a) your UGC will be treated as non-confidential and non-proprietary by Us – regardless of whether you mark them “confidential,” “proprietary,” or the like – and will not be returned, and (b) to the maximum extent not prohibited by applicable law, eSalon does not assume any obligation of any kind to you or any third-party with respect to your UGC. Upon request, you will provide documentation necessary to authenticate rights to such content and verify your compliance with these Terms or any applicable Additional Terms. You acknowledge that the Internet and mobile communications may be insecure and subject to breaches of security; accordingly, you acknowledge and agree that your UGC is submitted at your own risk.

In your communications with eSalon, please keep in mind that We do not seek any unsolicited ideas or materials for products or services, or even suggested improvements to products or services, including, without limitation, ideas, concepts, inventions, or designs for music, websites, apps, books, scripts, screenplays, motion pictures, television shows, theatrical productions, software or otherwise (collectively, “Unsolicited Ideas and Materials”). Any Unsolicited Ideas and Materials you submit are deemed UGC and licensed to Us as set forth below. In addition, eSalon retains all of the rights held by members of the general public with regard to your Unsolicited Ideas and Materials. eSalon’s receipt of your Unsolicited Ideas and Materials is not an admission by eSalon of their novelty, priority, or originality, and it does not impair eSalon’s right to contest existing or future intellectual property rights relating to your Unsolicited Ideas and Materials.

C. License to eSalon of Your UGC. Except as otherwise described in any applicable Additional Terms (such as a promotion’s official rules), which specifically govern the submission of your UGC, or in Our Privacy Statement, you hereby grant eSalon the non-exclusive, unrestricted, unconditional, unlimited, worldwide, irrevocable, perpetual, and cost-free right and license to use, copy, record, distribute, reproduce, disclose, sell, re-sell, sublicense (through multiple levels), display, publicly perform, transmit, publish, broadcast, translate, make derivative works of, and otherwise use and exploit in any manner whatsoever, all or any portion of your UGC (and derivative works thereof), for any purpose whatsoever in all formats, on or through any means or medium now known or hereafter developed, and with any technology or devices now known or hereafter developed, and to advertise, market, and promote the same. Without limitation, the granted rights include the right to: (a) configure, host, index, cache, archive, store, digitize, compress, optimize, modify, reformat, edit, adapt, publish in searchable format, and remove such UGC and combine same with other materials, and (b) use any ideas, concepts, know-how, or techniques contained in any UGC for any purposes whatsoever, including developing, producing, and marketing products and/or services. You understand that in exercising such rights metadata, notices and content may be removed or altered, including copyright management information, and you consent thereto and represent and warrant you have all necessary authority to do so. In order to further effect the rights and license that you grant to eSalon to your UGC, you also, as permitted by applicable law, hereby grant to eSalon and agree to grant to eSalon the unconditional, perpetual, irrevocable right to use and exploit your name, persona, and likeness in connection with any UGC, without any obligation or remuneration to you. Except as prohibited by law, you hereby waive, and you agree to waive, any moral rights (including attribution, anonymity, and integrity) that you may have in any UGC, even if it is altered or changed in a manner not agreeable to you. To the extent not waivable, you irrevocably agree not to exercise such rights (if any) in a manner that interferes with any exercise of the granted rights. You understand that you will not receive any fees, sums, consideration, or remuneration for any of the rights granted in this Section 7(c).

D. eSalon’s Exclusive Right to Manage Our Service. eSalon may, but will not have any obligation to, review, monitor, display, post, store, maintain, accept, or otherwise make use of, any of your UGC, and eSalon may, in its sole discretion, reject, delete, move, re-format, remove or refuse to post or otherwise make use of UGC without notice or any liability to you or any third-party in connection with Our operation of UGC venues in an appropriate manner. Without limitation, We may do so to address content that comes to Our attention that We believe is offensive, obscene, lewd, lascivious, filthy, violent, harassing, threatening, abusive, illegal or otherwise objectionable or inappropriate, or to enforce the rights of third parties or these Terms or any applicable Additional Terms. Such UGC submitted by you or others need not be maintained on the Service by Us for any period of time, and you will not have the right, once submitted, to access, archive, maintain, change, remove, or otherwise use such UGC on the Service or elsewhere, except that California minors have certain rights to have certain content about them that they have themselves posted on the Service prospectively removed from public display as provided for in the Privacy Statement.

E. Representations and Warranties Related to Your UGC. Each time you submit any UGC, you represent and warrant that you are at least the age of majority in the jurisdiction in which you reside and are the parent or legal guardian, or have all proper consents from the parent or legal guardian, of any minor who is depicted in or contributed to any UGC you submit, and that, as to that UGC, (a) you are the sole author and owner of the intellectual property and other rights to the UGC, or you have a lawful right to submit the UGC and grant eSalon the rights to it that you are granting by these Terms and any applicable Additional Terms, all without any eSalon obligation to obtain consent of any third-party and without creating any obligation or liability of eSalon (b) the UGC is accurate; (c) the UGC does not and, as to eSalon’s permitted uses and exploitation set forth in these Terms, will not, infringe any intellectual property or other right of any third-party or any applicable law or regulation; and (d) the UGC will not violate these Terms or any applicable Additional Terms, or cause injury or harm to any person.

F. Restrictions. In addition to and without limiting your other obligations under these Terms, when you submit any UGC, you agree to all of the following:

(i) your UGC is original, accurate, created by you, and not an impersonation;

(ii) if your UGC relates to your use of Our product(s), you are currently a bona fide user of Our product(s) mentioned in your UGC, and your UGC reflects your true and honest opinion of, and experience(s) with, Our product(s);
-
(iii) you are not Our employee nor do you work for any agency or other third party hired by Us to promote and/or sell Our products, or, if you are Our employee or work for an agency or other third party hired by Us to promote and/or sell Our products, you agree to include a clear and conspicuous disclosure of your relationship with Us in your UGC;

(iv) your UGC (or any portion of it) has not been included in, nor planned for, use in any advertising or promotional material for Us or any third party;

(v) your UGC is made without any prior payment or other benefit, or promise of payment or other benefit, having been made to you, and without the expectation by you of any payment or other benefit in return for your UGC, and your UGC is made without any prior benefit having been made to you, except for the possibility of having your UGC used for Our promotional purposes. Or, if you did receive a benefit, you agree you will clearly and conspicuously disclose the details of the benefit in your UGC;

(vi) your UGC (a) is not false, misleading, offensive, profane, vulgar, obscene, derogatory, defamatory, libelous, slanderous, or otherwise inappropriate, and (b) without limiting the foregoing, does not contain anything that is, or may reasonably be considered to be, hate speech or harassment of any individual, group, entity, or political body;

(vii) your UGC does not infringe any third party's copyright, patent, trademark, trade secret, right of publicity, right of privacy, moral rights, and/or any other applicable personal, intellectual property, or proprietary rights;

(viii) your UGC does not (a) violate any law, rule, or regulation, and (b) does not engage in, encourage, advocate, or provide instructions for conduct that would violate any law, rule, or regulation;

(ix) your UGC is not intended to create disruption or to mislead others, such as posting multiple UGCs in an effort to monopolize a forum, crowd out reviews of a product, or posting UGC unrelated to the forum’s designated topic or theme;

(x) your UGC does not include third party websites, addresses, email addresses, contact information, phone numbers, other information or opinions about an identified or reasonably identifiable individual or private information (including sensitive information) without obtaining prior consent from that individual for sharing such information with Us;

(xi) your UGC does not contain or facilitate any Trojan horses, viruses, worms, harmful code, or other potentially damaging information, programs, or files; and
-
(xii) Our use of your UGC, including (but not limited to) its publication on our Services, does not violate these Terms or any law, rule, or regulation, and will not cause injury to any person or entity.

G. Enforcement. eSalon has no obligation to monitor or enforce your Intellectual Property rights to your UGC, but you grant Us the right to protect and enforce Our rights to your UGC, including initiating actions in your name and on your behalf (at eSalon’s cost and expense, to which you hereby consent and irrevocably appoint eSalon as your attorney-in-fact, with the power of substitution and delegation, which appointment is coupled with an interest).
8. DMCA Copyright Policy and Copyright Agent
eSalon respects the Intellectual Property rights of others and expects users of its Service to do the same. eSalon may remove content that in its sole discretion appears to infringe the Intellectual Property rights of others. In addition, eSalon, in its sole and absolute discretion, may terminate the accounts of users who infringe the Intellectual Property rights of others.
If you believe that a user of the Service has infringed your copyright rights, please notify eSalon’s Copyright Agent (contact information below) and provide the following information: (a) a physical or electronic signature of the person authorized to act on behalf of the owner of the copyright right; (b) an identification of the copyright protected property claimed to have been infringed; (c) a detailed description of the material that you claim is infringing, so that We may locate it, including the URL where the infringing material appears; (d) your address, telephone number, and email address; (e) a statement by you that you have a good faith belief that the allegedly infringing use is not authorized by the copyright owner, its agent, or the law; and (f) a statement by you, made under penalty of perjury, that the foregoing information is accurate and that you are authorized to act on behalf of the owner of the copyright(s) involved.

9. Links and Third-Party Services
We are not responsible for third parties or their content, advertisement(s), apps or sites (“Third-Party Services”). For instance, portions of the Service may be integrated into or linked to third-party sites, platforms and apps that We do not control. Similarly, We may make ads and third-party content or services, which We also may not control, available to you on or via Our Service. This may include the ability to register or sign in to Our Services using Facebook Connect or other third-party tools, and to post content on third-party sites and services using their plug-ins made available on Our Services. Use caution when dealing with third parties and consult their terms of use and privacy policies. We take no responsibility for Third-Party Services. In addition, while eSalon may provide you with a link to a third party web site, it is understood that eSalon does not endorse, approve, sponsor or support such sites.
If you are accessing or using the Service through Apple, Android, or any other platform, these are Third-Party Services. If you access Our Apps via Apple, click here for Additional Terms and conditions that are applicable to you and are incorporated into the Terms by this reference.
10. Text Messaging & Automated Call Terms

A. General. Text messaging may include both short message service (SMS) and multimedia message service (MMS) functionality. By opting-in to an eSalon and/or eSalon brand text messaging program, (a) you consent to receiving recurring marketing and promotional text marketing messages at the mobile number you provided, using automated technology (including automated telephone dialing systems), from or on behalf of eSalon, eSalon brands, and their agencies, service providers, and/or business partners, including via any short code provided in connection with the text messages and/or any particular text messaging campaign, and (b) you understand that consent is not a condition of purchasing any property, goods, or services. You may revoke your consent at any time by opting-out as described below in “How to Opt-Out.” All text messages and their content may be captured, recorded, and/or monitored by eSalon, our brands, and our agencies, service providers, and/or third-party business partners, as further described in the section of our Privacy Policy titled “Notice of Monitoring of Services”.

B. Charges and Fees. eSalon’s and its brands’ text messaging programs are standard-rate SMS programs, and message frequency will vary by individual. eSalon and its brands reserve the right to alter the frequency of messages at any time. eSalon and its brands do not charge for their text messaging initiatives; however, your mobile carrier’s message and data rates may apply. Message frequency varies. To participate in text messaging with eSalon and/or an eSalon brand, you must have a text-messaging-enabled mobile device with a current text messaging plan. C. How to Use the Text Messaging Service.

(1) How to Opt-In. To opt-in to receive texts from eSalon or any eSalon brand, you can (a) provide your number when making a purchase or filling out other online forms, and indicate your consent to receive text messages, or (b) some brands may provide a keyword that you can text to a specific number to opt-in to receive text messages. From time to time, eSalon or its brands may also provide other numbers and/or keyword(s) to opt-in to additional campaigns. Your opt-in action signals your agreement to these Terms of Use and to the arbitration and class waiver provisions contained in Section 14 below.

(2) How to Opt-Out. To stop receiving text messages from an eSalon brand, text STOP to the number and/or short code from which that brand is sending you text messages. You can also opt-out by contacting the brand from whom you are receiving text messages. Please note: opting-out of one form of communication does not mean you’ve opted out of other forms as well. For example, if you opt-out of receiving text messages, you may still receive marketing email messages. Please also note that (a) if you are receiving text messages from more than one eSalon brand, you will need to opt-out from each brand separately, and (b) if you have opted-in to more than one text messaging program for a brand, you may continue to receive text messages through any other program you have separately opted-into until you separately opt-out from that program. You may also continue to receive messages via text message related to orders or transactions, service delivery, or as otherwise permitted by law.

D. Duty to Notify and Indemnify: You represent that you are the account holder for the mobile telephone number(s) that you used to opt-in to any text messaging program of eSalon or any eSalon brand. You are responsible for completing the opt-out process or notifying us immediately if you change, transfer, or intend to stop using the mobile telephone number used to subscribe to the program. You may notify us of a number change by contacting us here. Your agreement to do so is a material part of these terms and conditions.

You agree to indemnify eSalon, its brands, and their officers, directors, employees, agents, licensors and suppliers in full for all claims, expenses, and damages related to or caused in whole or in part by your failure to complete the opt-out process or notify us if you change, transfer, or intend to stop using your telephone number including, but not limited to, all claims, expenses, and damages related to or arising under the Telephone Consumer Protection Act or any similar state or local legislation or regulations.
11. Disclaimer of Warranties

AS PERMITTED BY APPLICABLE LAW, ESALON PARTIES DISCLAIM ALL LIABILITY AND ASSUME NO RESPONSIBILITY FOR THE RESULTS OF ANY DEFECTS OR INACCURACIES THAT MAY EXIST IN THE SERVICE OR FROM ITS OPERATION. ESALON MAKES NO WARRANTY THAT (I) THE OPERATION OF THE SERVICE WILL MEET THE USER´S REQUIREMENTS; (II) ACCESS TO THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, FREE OF VIRUSES, WORMS, TROJAN HORSES OR OTHER HARMFUL COMPONENTS, OR BE FREE OF DEFECTS OR ERRORS; (III) THE RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE OR RELIABLE; OR (IV) DEFECTS WILL BE CORRECTED. NOTWITHSTANDING THE FOREGOING, THIS SECTION DOES NOT EXPAND OR LIMIT (I) ANY EXPRESS, WRITTEN PRODUCT WARRANTY OR RELATED DISCLAIMERS THAT ARE PROVIDED BY ESALON OR ITS SUPPLIERS WITH REGARD TO A PHYSICAL PRODUCT SOLD BY ESALON, OR ANY WARRANTY ON A PHYSICAL PRODUCT TO THE EXTENT REQUIRED BY APPLICABLE LAW; (II) ESALON PARTIES’ LIABILITY FOR PERSONAL INJURY TO YOU CAUSED BY ESALON PARTIES TO THE EXTENT NOT WAIVABLE OR CANNOT BE LIMITED UNDER APPLICABLE LAW; OR (III) ANY CAUSE OF ACTION YOU MAY HAVE AGAINST ESALON PARTIES THAT IS NOT WAIVABLE OR CANNOT BE LIMITED UNDER APPLICABLE LAW.
12. Limitation of Liability
AS PERMITTED BY APPLICABLE LAW, UNDER NO CIRCUMSTANCES, WHETHER DUE TO NEGLIGENCE OR OTHERWISE, SHALL ESALON PARTIES BE LIABLE FOR ANY DAMAGES OR INJURY, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, PUNITIVE OR OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR PROFIT, THAT MAY RESULT FROM THE USE OF, OR THE INABILITY TO USE, THE SERVICE OR ANY MATERIALS IN THE SERVICE, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE SERVICE OR INFORMATION AVAILABLE IN THE SERVICE. THESE INCLUDE, BUT ARE NOT LIMITED TO, DAMAGES OR INJURY CAUSED BY ERROR, OMISSION, INTERRUPTION, DEFECT, FAILURE OF PERFORMANCE, DELAY IN OPERATION OR TRANSMISSION, LINE FAILURE OR COMPUTER VIRUS, WORM, TROJAN HORSE OR OTHER HARMFUL COMPONENT, INCLUDING FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. AS PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL A ESALON PARTIES’ TOTAL LIABILITY TO YOU FOR DAMAGES, LOSSES, AND/OR CAUSES OF ACTION ARISING OUT OF THE SERVICE EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100), OR THE AMOUNT YOU HAVE PAID ESALON IN CONNECTION WITH A PRODUCT OR SERVICE UNDERLYING THE CLAIM, AND ANY CLAIM OR CAUSE OF ACTION YOU MAY HAVE WITH RESPECT TO THE SERVICE (INCLUDING BUT NOT LIMITED TO THE PURCHASE OF ESALON PRODUCTS) MUST BE COMMENCED WITHIN ONE (1) YEAR AFTER THE CLAIM OR CAUSE OF ACTION ARISES.
NOTWITHSTANDING THE FOREGOING, THIS SECTION DOES NOT EXPAND OR LIMIT (I) ANY EXPRESS, WRITTEN PRODUCT WARRANTY OR RELATED DISCLAIMERS THAT ARE PROVIDED BY ESALON OR ITS SUPPLIERS WITH REGARD TO A PHYSICAL PRODUCT SOLD BY ESALON TO YOU, OR ANY WARRANTY ON A PHYSICAL PRODUCT TO THE EXTENT REQUIRED BY APPLICABLE LAW; (II) ESALON PARTIES’ LIABILITY FOR PERSONAL INJURY TO YOU CAUSED BY ESALON PARTIES TO THE EXTENT NOT WAIVABLE OR CANNOT BE LIMITED UNDER APPLICABLE LAW; OR (III) ANY CAUSE OF ACTION YOU MAY HAVE AGAINST ESALON PARTIES THAT IS NOT WAIVABLE OR CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You agree to indemnify, defend, and hold harmless eSalon, its officers, directors, employees, agents, licensors and suppliers from and against all losses, expenses, damages and costs, including reasonable attorneys’ fees, resulting from (a) your access to and/or use of the Service (including, but not limited to, any negligent or wrongful conduct); (b) Your UGC; (c) any access to and/or use of your account (including by you or by any other person accessing or using your account); (d) any violation of these Terms by you or any person acting on your behalf; (d) any dispute or issue between you and any third parties; and (e) any illegal, unlawful, or wrongful conduct by you and/or any conduct by you that violates (or causes another person to violate) any applicable law, rule or regulation.
14. Arbitration and Dispute Terms
PLEASE READ THE FOLLOWING SECTION CAREFULLY. IT REQUIRES YOU TO ARBITRATE DISPUTES WITH ESALON AND LIMITS THE MANNER IN WHICH YOU CAN SEEK RELIEF. THIS SECTION 14 OF THIS AGREEMENT SHALL BE REFERRED TO AS THE “ARBITRATION AGREEMENT”.

A. Mandatory Individual Arbitration. You and We each agree that any and all claims, controversies, or disputes of any nature, including tort and statutory claims, arising out of or relating to these Terms, any Additional Terms, our North America Privacy Policy or California Privacy Notice, the Service, the Content, your UGC, or any purchase of any product or any other transaction, including any questions of arbitrability (collectively, a “Dispute”), shall be settled by individual binding arbitration administered by JAMS in accordance with its applicable arbitration rules, as specified below, by a sole arbitrator or in small claims court, except that individual residents of Quebec are not required to submit their disputes to arbitration. THERE IS NO JUDGE OR JURY IN ARBITRATION, AND COURT REVIEW OF AN ARBITRATION AWARD IS LIMITED. THE ARBITRATOR MUST FOLLOW THIS ARBITRATION AGREEMENT AND CAN AWARD, ON AN INDIVIDUAL BASIS, THE SAME DAMAGES AND RELIEF AS A COURT. You and We each also agree that this Arbitration Agreement affects interstate commerce so that the Federal Arbitration Act and federal arbitration law, not state law, apply and govern any questions regarding the enforceability of this Arbitration Agreement, including all questions of arbitrability (despite the general choice of law provision set forth below).

B. Pre-Arbitration Notification. eSalon and you agree that it would be advantageous to discuss and hopefully resolve any Disputes before formal proceedings are initiated; provided, however, that eSalon need not do so in circumstances where its claims of Intellectual Property rights are concerned (“IP Disputes”). The party making a claim – whether you or eSalon – shall send a letter to the other side briefly summarizing the claim and the request for relief. If eSalon is making a claim, the letter shall be sent, via email, to the email address listed in your eSalon account, if applicable. If no such information exists or if such information is not current, then We have no notification or delay obligations under this Section 14(b). If you are making a claim, the letter shall be sent to eSalon.com LLC, 1910 E. Maple Ave, El Segundo, CA 90245 (Attn: General Counsel). The Notice of Dispute must contain enough information for us to attempt to resolve your claim, including (a) your name; (b) the email address and telephone number associated with your eSalon account, if applicable; (c) a written description of the problem, relevant documents, and supporting information; and (d) a good faith calculation of the damages you claim to have suffered and a statement of the specific relief you are seeking. You may be represented by an attorney or other person in that process. However, if you choose to be represented by an attorney or other person, you must also submit with your Notice of Dispute a signed, written authorization allowing us to discuss your Dispute with your attorney or other representative. You and we each agree to negotiate any Dispute between us in good faith for a sixty-day period. If the Dispute is not resolved within sixty (60) days after notification, the claimant may proceed to initiate proceedings as set forth in this Section 14, or permitted by the applicable law. Either you or eSalon, however, may seek provisional remedies (such as preliminary injunctive relief, subject to Section 14(d)) before the expiration of this sixty (60)-day period.

C. Arbitration of Claims. If We are unable to resolve your Dispute within 60 days despite those good faith efforts, then either you or We may start arbitration or small claims court proceedings. Any Dispute or arbitration demand relating thereto shall be submitted to JAMS (www.jamsadr.com) for final and binding arbitration under its Comprehensive Arbitration Rules and Procedures if the matter in dispute is over $250,000 or under its Streamlined Arbitration Rules and Procedures if the matter in dispute is $250,000 or less, to be held in Delaware before a single arbitrator. The arbitrator shall be selected by mutual agreement of the parties or, if the parties cannot agree, then the arbitrator shall be selected using the following procedure: (a) JAMS will send the parties a list of five candidates; (b) if the parties cannot agree on an arbitrator from that list, each party shall return its list to the JAMS within 14 days, striking up to two candidates, and ranking the remaining candidates in order of preference; (c) JAMS shall appoint as arbitrator the candidate with the highest aggregate ranking; and (d) if for any reason the appointment cannot be made according to this procedure, JAMS may exercise its discretion in appointing the arbitrator.
Payment of all filing, administration, and arbitrator fees will be governed by the JAMS Rules. If you initiate an arbitration, you are required to pay JAMS an initial filing fee, but we will reimburse you for this filing fee at the conclusion of the arbitration to the extent it exceeds the fee for filing a complaint in a federal or state court in your county (or parish) of residence. If the arbitrator finds that either the substance of your claim or the relief sought was frivolous, or that your claim was brought for an improper purpose (as measured by the standards in Federal Rule of Civil Procedure 11(b)), then we will not reimburse your initial filing fee. This Arbitration Agreement authorizes the arbitrator to award fees or other sanctions against your counsel. Any facts, evidence, documents, or testimony introduced or produced in an arbitration proceeding may be used only in that proceeding and may not be disclosed, introduced, or used in another arbitration proceeding even if it involves the same or similar claims. We each also agree that the arbitrator will not be bound by rulings in any prior arbitrations not involving the same parties, even if they involved the same or similar claims.
The arbitration shall be a confidential proceeding, closed to the general public; provided, however, that a party may disclose information relating to the arbitration proceedings to its and its affiliates’ lawyers, insurance providers, auditors and other professional advisers. The fact that there is a dispute between the parties that is the subject of arbitration shall be confidential to the same extent. The arbitrator shall issue a written opinion stating the essential findings and conclusions upon which the arbitrator’s award is based.
If the Dispute could have been brought in small claims court, then either you or we may elect to have the Dispute heard in small claims court, rather than in arbitration, at any time before the arbitrator is appointed, by notifying the other party of that election in writing. Any dispute about whether a Dispute qualifies for small claims court will be resolved by that court, not by an arbitrator. In the event of any such dispute, the arbitration proceeding will remain closed unless and until the small claims court issues a decision that the Dispute should proceed in arbitration. The substantive law that applies to such a dispute shall be Delaware law, without regard to conflicts of laws principles.
The arbitrator will have the power to rule on their own jurisdiction, including any issues concerning the existence, validity, or scope of either this Arbitration Agreement, including whether any claim is subject to arbitration, provided that: (1) any dispute about whether a claim qualifies for small claims court will be resolved by that court, not by an arbitrator; and (2) a court will have the authority to determine whether the parties have complied with the informal dispute resolution procedures set out above and whether any claim you or we have filed in arbitration or in court is inconsistent with the Class Action Waiver included in these Terms.
Other than expressly set forth in the foregoing, neither party shall be entitled or permitted to commence or maintain any action in a court of law with respect to any Dispute until such Dispute shall have been finally adjudicated via arbitration as herein provided, and then only for the enforcement of the arbitrator’s award; provided, however, eSalon may seek interim, injunctive, or equitable relief in a court of competent jurisdiction, without thereby waiving its right to arbitrate or compel arbitration of the Dispute under this Section.

D. Permissible Remedies; Limitation on Injunctive Relief. An arbitrator may award on an individual basis any relief that would be available in a court, including injunctive or declaratory relief. If you seek injunctive or declaratory relief, you agree that the arbitrator may award injunctive or declaratory relief in favor of you alone, and only to the extent necessary to resolve your individual claim. AS PERMITTED BY APPLICABLE LAW, IF YOU CLAIM THAT YOU HAVE INCURRED ANY LOSS, DAMAGES, OR INJURIES IN CONNECTION WITH YOUR USE OF THE SERVICE, THEN THE LOSSES, DAMAGES, AND INJURIES WILL NOT BE DEEMED IRREPARABLE OR SUFFICIENT TO ENTITLE YOU TO AN INJUNCTION OR TO OTHER EQUITABLE RELIEF OF ANY KIND. THIS MEANS (WITHOUT LIMITATION) THAT, IN CONNECTION WITH YOUR CLAIM, YOU AGREE THAT YOU WILL NOT SEEK, AND THAT YOU WILL NOT BE PERMITTED TO OBTAIN, ANY COURT OR OTHER ACTION THAT MAY INTERFERE WITH OR PREVENT THE DEVELOPMENT OR EXPLOITATION OF THE SERVICE, OR ANY ASPECT THEREOF, OR INTELLECTUAL PROPERTY OWNED, LICENSED, USED, OR CONTROLLED BY ANY ESALON PARTY (INCLUDING YOUR LICENSED UGC) OR A LICENSOR OF ANY ESALON PARTY.

E. Governing Law. For users for are not individual residents of the province of Quebec, all Disputes a and any other claim brought by you against eSalon or by eSalon against you pursuant to this Section 14, or otherwise related to the Service, Content, eSalon Licensed Elements, UGC or other eSalon products or services, will be governed by, construed, and resolved in accordance with, the laws of the State of Delaware, U.S.A., without regard to its conflicts of law provisions that might apply the laws of another jurisdiction. This Section 14 shall be governed solely by the Federal Arbitration Act, 9 U.S.C. §1, et seq., and not by the law of any state, and is enforceable pursuant to its terms on a self-executing basis. You and eSalon agree that We intend that this Section 14 satisfies the “writing” requirement of the Federal Arbitration Act. This Section 14 can only be amended by mutual agreement. Either party may seek enforcement of this Section 14 in any court of competent jurisdiction. The arbitrator shall determine any and all challenges to the arbitrability of a claim.

F. Class Action and Consolidated Actions Waiver (“Class Action Waiver”). As permitted by applicable law, and for users who are not individual residents of the province of Quebec, both you and We agree that a party may only bring claims in its individual capacity and on its own behalf. You and eSalon waive the right to bring any Dispute as a class, consolidated, mass, representative, collective, or private attorney general action, or to participate in a class, consolidated, mass, representative, collective, or private attorney general action regarding any Dispute brought by anyone else. Notwithstanding any provision in the JAMS Comprehensive Arbitration Rules and Procedures to the contrary, the arbitrator shall not have the authority or any jurisdiction to hear the arbitration as a class, consolidated, mass, representative, or private attorney general action or to consolidate, join, or otherwise combine the Disputes of different persons into one proceeding.

G. Jury Trial Waiver. AS PERMITTED BY APPLICABLE LAW, IF A DISPUTE PROCEEDS IN COURT RATHER THAN THROUGH ARBITRATION, YOU AND WE EACH HEREBY WAIVE ANY RIGHT TO JURY TRIAL WITH RESPECT TO ALL CLAIMS AND ISSUES ARISING UNDER, IN CONNECTION WITH, TOUCHING UPON OR RELATINGTHERETO, INCLUDING ANY CLAIM SOUNDING IN CONTRACT, TORT, OR FRAUD.

H. Small Claims Matters. Notwithstanding the foregoing, either of us may bring qualifying claim of Dispute (but not IP Disputes) in small claims court, subject to Section 14(b).

I. Supersede. The provisions of this Section 14 shall supersede any inconsistent provisions of any prior agreement between the parties. This Section 14 shall remain in full force and effect notwithstanding any termination of your use of the Service or these Terms.

J. Severability Applicable to Arbitration Agreement. If a court or arbitrator determines in an action between you and us that any part of this Arbitration Agreement cannot be enforced with respect to any claim, remedy, or request for relief, the rest of this Arbitration Agreement will continue to apply; provided, however, that if the Class Action Waiver is declared to be unenforceable or invalid, this entire Arbitration Agreement (other than this sentence) will not apply to that claim, remedy, or request for relief (but will still apply to any and all other claims, remedies, and requests for relief that you or we may assert in that or any other action). In any such case, you and we agree that we will arbitrate all claims, remedies, and requests for relief subject to individual arbitration first, and that any remaining unresolved claims, remedies, or requests for relief may be pursued in court only after the arbitrator’s award has been issued. In any such proceeding, the arbitrator’s factual findings will not be entitled to deference by the court.

K. Forum Selection/Jurisdiction. For users who are individual residents of the province of Quebec, the exclusive forum for any Disputes will be the courts of the City of Montreal in the province of Quebec; any such claims will be governed by the laws of the Province of Quebec and the laws of Canada, without reference to its conflict of law principles. For all other persons, the exclusive forum for any Disputes not required to be litigated in small claims court will be the state and federal courts in Wilmington, Delaware, and You and We hereby submit to the personal jurisdiction and venue of such courts.
15. Downloaded Software
If you download software from the Service, the software and all files, images and data relating to the software is subject to the license terms in the software license that accompanies or is provided with the software. You may only use the software pursuant to the terms of such software license. You do not own the downloaded software, and eSalon does not transfer ownership of the software to you. You may not redistribute, sell, decompile, reverse engineer, disassemble, or otherwise reduce the software to a human-perceivable form.
16. Update to Terms
It is your responsibility to review the posted Terms and any applicable Additional Terms each time you use this SERVICE YOU ARE ENTERING INTO A NEW AGREEMENT WITH US ON THE THEN APPLICABLE TERMS AND CONDITIONS AND YOU AGREE THAT WE MAY NOTIFY YOU OF NEW TERMS BY POSTING THEM ON THE SERVICE (OR IN ANY OTHER REASONABLE MANNER OF NOTICE WHICH WE ELECT), AND THAT YOUR USE OF THE SERVICE AFTER SUCH NOTICE CONSTITUTES YOUR GOING FORWARD AGREEMENT TO THE NEW TERMS FOR YOUR NEW USE AND TRANSACTIONS. Any new Terms or Additional Terms will be effective as to new use and transactions as of the time that We post them, or such later date as may be specified in them or in other notice to you. In the event any notice to you of new, revised, or additional terms is determined by a tribunal to be insufficient, the prior agreement shall continue until sufficient notice to establish a new agreement occurs. You can reject any new, revised or additional terms by discontinuing use of the Service.
17. Forward-looking Statements
The Service may contain statements that involve eSalon´s intentions, expectations or predictions. Such statements reflect the views of eSalon as of the date made with respect to future events and are subject to risks and uncertainties. These statements could be inaccurate or could become inaccurate as a result of developments occurring after their respective dates. eSalon disclaims any intention or obligation to update or revise these statements.
18. Severability/No Waiver, Entire Agreement
If any provision of these Terms shall be found to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions. No failure on the part of eSalon to enforce these Terms shall constitute a waiver of any of eSalon´s rights under these Terms, whether for past or future actions on the part of any person. These Terms shall be the entire agreement between eSalon and you with respect to the subject matter hereto, and supersede all prior or contemporaneous understandings regarding such subject matter. No amendment to or modification of this Terms will be binding unless provided as an update by eSalon to this document, or signed in writing by an authorized officer of eSalon.
19. Prices
eSalon reserves the right to modify its pricing at any time, by posting new prices on the Site. In addition, if you are enrolled a Flex-Plan, new pricing will only affect deliveries made a minimum of ten (10) days after any price change.
For sales where the total amount is greater than €150 the customer will be the importer of record where the goods originate from the UK or US and additional import VAT and customs duty may apply.

21. Subscription Services for Client Purchases
Flex-Plan and Promotional Discount
One of the easiest ways to purchase eSalon products is to opt-in to eSalon's Flex-Plan. The Flex-Plan automatically sends your next order, which includes all items that you have chosen to include in your Flex-Plan, on the delivery frequency of your choice. Only one Flex-Plan cycle per customer can be selected at a time. By opting into the Flex-Plan, a customer will receive a discount on the purchase price of all AutoShip-designated items included in the AutoShip order; items added to the order that are not part of the Flex-Plan will not receive a Flex-Plan discount.
Each time eSalon ships a product to you, eSalon will charge the credit card saved in your account for the cost of the product(s) plus any applicable taxes and shipping charges (in fact, this is done by our payment processor, not by eSalon itself which does not use or store your credit card information). If you are located in the EU region, your payment is managed by our UK company, eSalon.com Ltd, as our payment processor. As an eSalon customer, you have the flexibility to make adjustments to your hair color and AutoShip order online, including any or all of the following: adjusting your hair color formula, consulting with a licensed hair colorist for color selections, adding or removing items in your AutoShip selection, changing the quantity of any items selected, rescheduling your order for a future date and/or skipping an upcoming order. You just need to let us know at least 24 hours before we prepare your upcoming hair color product for delivery. Customers are sent a notification for each upcoming order five days prior to order shipment. Once your account has been set up and your first order shipped, you may turn off AutoShip or make adjustments to your Plan at any time by logging-in to your account and choosing the delivery settings option, or by calling a toll-free eSalon telephone number set forth above. Your cancellation will not affect your obligation with respect to any product that already has been prepared for upcoming delivery to you. You also may restart the Flex-Plan at any time at colorsmithco.ca/my_account.
From time to time eSalon may offer promotions to people who want to become eSalon clients. These promotions may be specific to new or prospective clients and not available to existing or previous clients, and may be limited to one per household, one per unique user account, one per credit card, one per address, or one per email address. eSalon reserves the right to determine if a promotion meant for a new client is applicable to you.

Offer Terms: In connection with a Flex-Plan listed above, you keep a credit (or debit) card active in your account, and this card is automatically charged by our payment processor each time products ordered by you are shipped to you. This will continue indefinitely until you cancel the particular Service, as indicated below. The amount charged to your card each time may change under both Services, depending on the price and/or number of product(s)you have selected.

Affirmative Consent: Your participation in our Service constitutes your affirmative consent to participate in these automatic renewal/continuous service programs.

The minimum purchase under a Flex-Plan is one eSalon product per 12-week period. However, you have the right to change this to timing that may better suit you by logging into your account.

22. Gift Cards

Overall Policies eSalon gift cards and their use on eSalon.com are subject to eSalon's Terms of Use and Privacy Policy.

Purchase eSalon gift cards are available in $25, $50 and $100 values in electronic (e-Gift Cards) and physical formats (Gift Cards). The amount of the gift card that you purchased will be charged to your credit card upon your confirmation and submission of the order.

Redemption To make a purchase with an eSalon gift card, the gift card holder must visit the Site to redeem the gift card toward the purchase of eligible products from eSalon. After purchase is complete, any remaining gift card balance will show up as a credit in the gift card holder's account. If an order exceeds the amount of total available credit on the gift card, the remaining balance must be paid with a credit card.

Expiration eSalon gift cards have no expiration date.

Limitations Gift cards cannot be used to purchase other eSalon gift cards and they cannot be reloaded, resold, transferred for value, redeemed for cash or applied to any other account.

Risk of Loss We are not responsible if a gift card is misplaced, lost, stolen, destroyed or used without your permission, and we have no obligation to replace a gift card under such circumstances.

Fraud eSalon reserves the right to close customer accounts and request alternative forms of payment if a fraudulently obtained gift card is redeemed and/or used to make purchases on the eSalon.com website or mobile application.

CERTAIN STATE LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. 23. Invite a Friend and Referral Credits
When you invite friends to join eSalon.com, you will receive a $0.00 referral credit in your account for each friend who makes a Qualified First Time Purchase of at least $0.00—excluding tax, shipping and handling ("Referral Credit"). Your friend must be a new client (this offer excludes existing or returning clients). There is no limit to the amount of Referral Credits you can earn. You can track your Referral Credits by visiting the Invite a Friend section after logging into your account. Referral Credits will accrue in your account and do not expire, and are automatically applied to your orders or other purchases at checkout.
If two people refer the same friend, the Referral Credit is applied to the account of the referral link used to make the purchase, regardless of which link was received first. Limit to one Referral Credit per new email address registered on the Site.
You may not use spam or send unsolicited emails to people you do not know personally to collect Referral Credits.
Referral Credits may not be bartered, exchanged or sold, and have no cash value by themselves and cannot be redeemed for cash, and only have a notional cash value of $0.00 when used in connection with an eligible purchase on eSalon.com.
eSalon reserves the right to cancel your Referral Credits at its discretion if it determines you have violated these Terms of Use, including through fraudulent or misleading referral activity.
eSalon reserves the right, at any time and without prior written notice, to add, remove or otherwise modify the terms of the Invite a Friend program and the issuance and use of Referral Credits.
24. Product Warranties
HAIR COLOR AND HAIR CARE PRODUCT DIFFERENCES ARE LIKELY TO OCCUR FOR MULTIPLE REASONS, INCLUDING BUT NOT LIMITED TO THE ACCURACY OF YOUR RESPONSES TO ESALON'S QUESTIONS AND/OR PROMPTS, THE SPECIFIC COLOR SETTINGS ON YOUR MONITOR, THE MANNER IN WHICH YOU TREAT THE PRODUCTS AND THE CARE WITH WHICH YOU FOLLOW THE INSTRUCTIONS AND CAUTIONS THEREON, AND YOUR PARTICULAR HAIR COLOR AND HAIR CARE PRODUCT APPLICATION TECHNIQUE. ESALON DOES NOT REPRESENT OR WARRANT THAT YOUR HAIR COLOR AND HAIR CARE RESULTS WILL BE IDENTICAL TO THAT OF THE PHOTOS OR IMAGES DISPLAYED ON THE SITE. ESALON DOES NOT MAKE ANY REPRESENTATION OR WARRANTY REGARDING DELIVERY TIMES.
25. Safety Precautions/Warnings
ESALON PRODUCTS MAY CONTAIN INGREDIENTS WHICH CAN CAUSE ALLERGIC REACTIONS, AND IN RARE CASES SUCH REACTIONS CAN BE SEVERE. YOU AGREE TO FOLLOW ALL SAFETY PRECAUTIONS, WARNINGS AND INSTRUCTIONS SET FORTH ON THE PRODUCT PACKAGING AND IN THE COLORING GUIDE AND PERSONALIZED INSTRUCTIONS. 26. Satisfaction Guaranteed
If you are not completely satisfied with your eSalon products, at your choice, we will either send you a new hair color formulation (or replacement hair care product) or issue a refund for your purchased items. To request a new reformulation (or replacement hair care product) or to request a refund, please contact us within 30 days from the date of your purchase. Shipping costs are not refundable. eSalon reserves the right to limit refunds or reformulations (including product replacements) to one per client per product.
27. Returns
eSalon will issue a refund only for unused products returned within 30 days of the purchase date. Electronics (including but not limited to blow dryers, straighteners, curling irons) may only be returned unopened within 30 days of purchase in their original packaging. Refunds are processed within 10 business days once eSalon has received the merchandise back. Shipping and handling fees are not refundable and eSalon reserves the right to limit refunds to one per client per product.
